1. Acceptance of Terms

Welcome to Nityagati, a mobile-first Enterprise Resource Planning (ERP) platform developed and operated by FalgunSoft Technologies ("Nityagati", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the Nityagati application, website, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not use the Service.

2. Eligibility

To use the Service, you must:

Be at least eighteen (18) years of age.
Have the legal capacity to enter into a binding agreement under applicable laws.
Use the Service only for lawful business purposes.

3. User Accounts

When creating an account, you agree to:

Provide accurate and complete information.
Keep your information up to date.
Protect your login credentials.
Notify us immediately if you suspect unauthorized access.

You are responsible for all activities performed using your account.

4. Organization Accounts

Nityagati is designed for organizations.

Each organization may create multiple users with different permission levels, including:

Owner
Administrator
Manager
Accountant
Sales Executive
Supervisor
Worker
Other custom roles supported by the platform

The Organization Owner is responsible for managing user access, permissions, and account administration.

5. Customer Data Ownership

Your organization retains full ownership of all Customer Data entered into Nityagati.

Customer Data includes, but is not limited to:

Accounting records
Inventory records
Production records
Attendance
Payroll
Customer information
Supplier information
Financial reports
Business documents

FalgunSoft Technologies does not claim ownership of Customer Data.

We process Customer Data solely to provide, maintain, secure, and improve the Service.

6. Acceptable Use

You agree that you will not:

Use the Service for unlawful purposes.
Attempt unauthorized access to another organization's information.
Circumvent authentication or security mechanisms.
Interfere with the normal operation of the Service.
Upload malware, viruses, or malicious software.
Reverse engineer, copy, or exploit the Service except as permitted by law.
Use the Service in a manner that infringes intellectual property rights or violates applicable laws.

Violation of this section may result in suspension or termination of your account.

7. Subscription and Pricing

Nityagati may offer free and paid plans.

Where paid subscriptions are introduced:

Pricing will be communicated before any charges are applied.
Subscription terms will be clearly disclosed.
Applicable taxes may be added where required by law.

Unless otherwise required by applicable law, subscription fees are non-refundable after the applicable billing period has begun.

8. Availability of Service

We strive to provide a reliable Service.

However, we do not guarantee uninterrupted or error-free availability.

The Service may occasionally be unavailable due to:

Scheduled maintenance
Security updates
Infrastructure failures
Internet connectivity issues
Circumstances beyond our reasonable control

We will make reasonable efforts to minimize service interruptions.

9. Data Backup

Nityagati performs reasonable operational backups to support business continuity.

However, organizations remain responsible for maintaining copies of critical business records where required by their own operational or legal requirements.

10. Intellectual Property

All rights, title, and interest in the Service, including:

Software
Source code
Design
User interface
Logos
Trademarks
Documentation
Branding

remain the exclusive property of FalgunSoft Technologies or its licensors.

Nothing in these Terms transfers ownership of our intellectual property to you.

11. Privacy

Your use of the Service is also governed by our Privacy Policy.

By using Nityagati, you acknowledge that you have read and understood the Privacy Policy.

12. Artificial Intelligence Features

Nityagati may provide AI-assisted features to improve productivity and user experience.

Customer Data is not used to train third-party artificial intelligence models without your explicit permission.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

FalgunSoft Technologies shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

Loss of profits
Loss of business opportunities
Loss of revenue
Loss of goodwill
Loss of data
Business interruption

arising from your use of, or inability to use, the Service.

Our total aggregate liability shall not exceed the amount paid by your organization for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless FalgunSoft Technologies, its directors, employees, partners, and affiliates from any claims, losses, liabilities, damages, costs, or expenses arising out of:

Your misuse of the Service.
Violation of these Terms.
Violation of applicable laws.
Violation of third-party rights.

15. Suspension and Termination

We may suspend or terminate access to the Service if:

These Terms are violated.
Fraudulent activity is detected.
Required by law.
Necessary to protect the security or integrity of the Service.

Organizations may discontinue use of the Service at any time.

Termination does not relieve either party of obligations that survive termination under applicable law.

16. Changes to the Service

We may:

Improve existing features.
Introduce new functionality.
Modify user interfaces.
Remove obsolete features.
Apply security updates.

We will make reasonable efforts to notify users when material changes significantly affect the use of the Service.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in India.

18. Changes to These Terms

We may revise these Terms from time to time.

When changes are made:

The "Last Updated" date will be revised.
Updated Terms will be made available within the application and/or on our website.

Continued use of the Service after such updates constitutes acceptance of the revised Terms.
